Terms of service

This is a draft. It describes accurately what the software does with data and money. It has not been reviewed by a lawyer, and nothing here should be read as a claim that Aegis is compliant with the law of any particular country until that review has happened.

1. Who this is between

These terms are between Aegis (“we”, “us”) and the organisation that opens an account (“you”, “the agency”). The person who signs up confirms they may accept these terms on the agency’s behalf.

Aegis is an independent product. It is not affiliated with, endorsed by or a partner of TikTok, ByteDance, Shopify or any other platform, and nothing here grants you rights in relation to those platforms.

2. What the service is

Aegis is software for running a TikTok Shop agency: creator records, outreach, campaigns, samples, content, analytics, client reporting, billing and related automation. We provide the software; you decide how to use it and remain responsible for the decisions you make with it.

We do not guarantee any commercial outcome. Forecasts, scores and predictions in the product are estimates presented with their uncertainty, and must not be treated as promises of revenue.

3. Your account

You are responsible for the security of your account, for the people you invite to it, and for the permissions you give them. Keep your password to yourself, turn on two-factor authentication, and tell us promptly if you believe an account has been compromised.

We may suspend an account that is being used to break these terms, to attack the service, or in a way that puts other customers’ data at risk. Where we can, we will tell you first.

4. Your data

The data you put into Aegis — your clients, creators, campaigns, messages, content and results — is yours. We process it to provide the service, as described in the privacy notice. We do not sell it, and we do not use it to train AI models.

You can export it at any time, including after you cancel. We keep backups for a limited period after deletion for recovery purposes, and the privacy notice says how long.

You confirm that you have the right to put into Aegis the personal data you upload — including creator and client contact details — and that you will use it lawfully. Where the law makes you a data controller, you remain the controller and we act on your instructions.

5. Acceptable use

You agree not to use Aegis to:

  • break the terms or technical controls of any platform it connects to;
  • send unsolicited bulk messages, or messages to people who have opted out;
  • misrepresent a creator’s results, or a client’s;
  • harvest credentials, or act on an account you do not control;
  • attempt to reach another customer’s data, or to test the service’s security without telling us first.

We build the product so that most of these are not possible. That is not a reason to try.

6. Payment

Paid plans are billed in advance, monthly or annually, to the card you provide. Card details are handled by our payment provider; we never receive or store your card number. Prices are exclusive of tax unless stated, and tax is calculated by the provider from the billing address you give us.

If a payment fails we will retry and ask you to update the card. Your workspace keeps working through a grace period, then becomes read-only — you can still read and export everything. We do not delete data because of an unpaid invoice.

7. Availability and changes

We work to keep Aegis available and will tell you about planned maintenance where we reasonably can. We do not currently offer a contractual uptime commitment; if you need one, ask and we will be straightforward about what we can agree to.

We improve the product continuously. We will not remove a capability you depend on without notice, and material changes to these terms will be announced before they take effect.

8. Intellectual property

We own Aegis — the software, interface, brand and documentation. You own your data and your own brand assets, and you grant us only the licence needed to run the service for you (storing, processing and displaying your data to the people you authorise).

9. Liability

Aegis is provided as it is. To the extent the law allows, we exclude implied warranties, and our total liability in any twelve-month period is limited to the fees you paid us in that period. We do not exclude liability the law does not permit us to exclude.

We are not liable for decisions you make using the product’s estimates, for a platform changing or withdrawing its API, or for content you or a creator publishes.

10. Ending the agreement

You can cancel at any time and keep access to the end of the period you have paid for. We may end the agreement if you break these terms materially and do not fix it after we ask.

After the agreement ends you can export your data for a period stated in the privacy notice, after which it is deleted.

11. The honest part

This document was written by the people who built the product so that it describes the software accurately. It has not been reviewed by a lawyer and it does not yet name a governing jurisdiction, because doing so without advice would be a guess. Before Aegis is sold in any market, this will be replaced by a reviewed agreement.
